§ 8AA-20. Indemnification.

  • The licensee shall indemnify, defend and hold the County, its officers, agents and employees harmless from any liability, claims, damages, judgments, costs or expenses, including reasonable attorney's fees caused by any conduct undertaken by the licensee, its officers, agents or employees, pursuant to or by reason of the license or caused by any policy or practice by Miami-Dade County on behalf of the licensee arising pursuant to Sections 8AA-28.1; 8AA-64; and 8AA-66. The licensee shall at its sole cost and expense, upon demand of the County, appear in and defend any and all suits, actions or other legal proceedings, whether judicial, quasi-judicial, administrative, legislative or otherwise, brought or instituted or had by third persons or duly constituted authorities, against or affecting the County, its officers, agents or employees, and arising out of or pertaining to any conduct, policy, or practice which is within the scope of this indemnity.
